Terms of Service

The terms and conditions that govern your use of the Tallie platform.

Acceptance of Terms

By accessing or using Tallie (“the Service”) at app.tallieos.com or any associated services, you agree to be bound by these Terms of Service (“Terms”). If you are using Tallie on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, you may not access or use the Service. Please also read our Privacy Policy, which describes how we handle your data.

Description of Service

Tallie is a recruiting operating system for boutique recruiting agencies. The platform provides tools for candidate management, client relationship management, job pipeline tracking, interview scheduling, placement recording, financial reporting, team communication, and document creation.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of significant changes where possible.

Accounts & Access

Account Creation

To use Tallie, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

Agency Workspaces

Tallie is structured around agency workspaces. Each workspace is isolated — users can only access data belonging to their own agency. Agency administrators are responsible for managing team permissions, role assignments, and data access for all team members within their workspace. This includes controlling which users can view, edit, or delete candidate, client, and financial data.

Account Security

You must notify us immediately at hello@tallieos.com if you become aware of any unauthorised use of your account or any other security breach. We are not liable for any loss arising from unauthorised access to your account.

Eligibility

You must be at least 18 years old to use Tallie. By creating an account, you represent that you meet this requirement.

Acceptable Use

You agree to use Tallie only for lawful purposes and in accordance with these Terms. You must not use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Store or transmit material that is unlawful, harmful, defamatory, or obscene
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure
  • Interfere with or disrupt the integrity or performance of the Service
  • Scrape, harvest, or extract data from the Service using automated means without our written consent
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Use the Service to process sensitive personal data beyond what is necessary for legitimate recruiting purposes
  • Transmit spam, unsolicited communications, or automated outreach in violation of applicable anti-spam laws

We reserve the right to suspend or terminate accounts that violate these terms without notice.

Your Data

Ownership

You retain full ownership of all data you input into Tallie, including candidate profiles, candidate preference data (availability, salary expectations, role preferences, location preferences), client information, job descriptions, job postings, documents, formatted resumes, outreach templates, and all other recruiting data. We do not claim any intellectual property rights over your data.

Licence to Operate the Service

By uploading or entering data into Tallie, you grant us a limited, non-exclusive, royalty-free licence to store, process, and display that data solely as necessary to provide the Service to you. This licence terminates when you delete the data or close your account.

Data Responsibility

You are responsible for ensuring that any personal data you enter into Tallie — including candidate and client information — is collected and processed in compliance with applicable data protection laws (including GDPR where applicable). You represent that you have a lawful basis for processing any personal data you store in Tallie.

Candidate Data & Data Protection

When using Tallie to process candidate personal data, you act as the Data Controller and Tallie acts as the Data Processor. If you operate in a jurisdiction covered by GDPR or similar regulations, you are responsible for:

  • Obtaining a lawful basis (consent or legitimate interest) before storing candidate personal data
  • Responding to candidate data subject access requests (DSARs) within the required timeframe
  • Using Tallie's consent management and data deletion tools to fulfill erasure requests
  • Informing candidates that their data may be processed by AI services for matching and analysis purposes

Tallie provides tools for consent tracking, data export, and permanent data deletion. Data marked for deletion is permanently purged within 30 days. See our Privacy Policy for details on sub-processors.

AI-Powered Features

Tallie uses third-party artificial intelligence and machine learning services to provide features including candidate matching, resume parsing, job description generation, and interview summarization. When you use these features, relevant data (such as candidate profiles, job requirements, and interview notes) may be sent to our AI sub-processors for processing. Our AI sub-processors do not use customer data to train generalised AI models. A list of current sub-processors is available at tallieos.com/legal/subprocessors.

AI-generated content — including match scores, match reasoning, outreach drafts, document drafts, and candidate summaries — is advisory only and is provided as a tool to assist your decision-making. Users should review all AI-generated content before acting on it, and it should not be used as the sole basis for hiring decisions. Tallie does not guarantee the accuracy, completeness, or suitability of any AI-generated output.

Backups

While we take reasonable steps to protect your data and maintain backups, we recommend that you maintain your own copies of critical data. We are not responsible for data loss resulting from circumstances beyond our reasonable control.

Data Protection

Tallie acts as a Data Processor for recruiting data stored on the platform; the agency is the Data Controller. Tallie processes personal data per the agency's instructions and is working toward full compliance with GDPR and other applicable data protection regulations. We have not yet completed formal GDPR certification.

We are in the process of preparing a Data Processing Addendum (DPA) for EU/EEA customers. If you have questions about data processing arrangements, please contact hello@tallieos.com.

Tallie supports the exercise of data subject rights — including access, rectification, erasure, and portability — through in-platform tools available under Settings → Data & Privacy. Agencies can use these tools to respond to data subject requests.

International Data Transfers

Your data is stored and processed in the United States. For users located in the EU/EEA or other jurisdictions with data transfer restrictions, please be aware that your data will be transferred to and processed in the US. We are working to implement appropriate safeguards for international data transfers. Contact hello@tallieos.com with any questions.

Google Workspace Integration

Google API Services: Tallie's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

Tallie optionally integrates with Google Gmail and Google Calendar. By connecting your Google account, you authorise Tallie to access your Gmail and Calendar data as described in our Privacy Policy.

Your use of Google services through Tallie is also subject to Google's Terms of Service. You may revoke Tallie's access to your Google account at any time from Settings → Integrations or from your Google account settings.

We will only use access to your Google account to provide the features you have explicitly enabled (email sending and calendar scheduling). We will not use your Google data for any other purpose.

Intellectual Property

Our Property

The Tallie platform, including its design, code, features, branding, and documentation, is owned by Tallie and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets.

Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback without restriction or compensation to you.

Payment & Billing

Tallie is currently in private beta. Pricing and payment terms will be provided separately when the Service becomes generally available. Any specific commercial terms agreed between you and Tallie in writing will take precedence over this section.

When paid plans are introduced, fees will be billed in advance on a subscription basis. We will provide at least 30 days' notice before introducing charges to existing accounts.

Beta Program

Tallie is currently in private beta. By participating in the beta program, you acknowledge and agree to the following:

The Service is under active development. Features may change, be added, or removed without notice during the beta period.

The Service may contain bugs, errors, or temporary interruptions. We do not guarantee uptime, performance, or data integrity at production levels during the beta period.

We may need to reset, migrate, or modify data structures as part of platform development. We will provide reasonable advance notice before any changes that could affect your data.

Your feedback, suggestions, bug reports, and feature requests submitted during the beta period may be incorporated into the Service without compensation or attribution.

Beta access is provided free of charge. Either party may terminate beta participation at any time.

When the beta period ends, you will have the option to: (a) continue using the Service at a discounted founding member rate, or (b) export your data and close your account. We will provide at least 30 days notice before the beta period ends.

Beta participants who provide ongoing feedback and engagement will receive priority support and permanent founding member pricing on future paid plans.

Termination

By You

You may close your account at any time by contacting us at hello@tallieos.com. We will delete your data within 30 days of account closure, except where we are required to retain it by law.

By Us

We may suspend or terminate your access to the Service immediately, without prior notice, if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law. We may also terminate accounts that have been inactive for an extended period, with reasonable advance notice.

Effect of Termination

Upon termination, your right to access the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, and limitations of liability) will continue to apply.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy or completeness of any information provided through the Service, including AI-generated content such as match scores, job descriptions, or outreach drafts.

AI-generated content within Tallie — including match scores, outreach drafts, document drafts, and candidate summaries — is provided for assistance purposes only, is advisory in nature, and should be reviewed and verified by a qualified human before use. You are solely responsible for any decisions made based on AI-generated output.

Data Security Commitments

SOC 2 Alignment

Tallie's security program is designed to align with SOC 2 Type II Trust Services Criteria. This includes:

  • Access controls and least-privilege permissions
  • Encryption at rest and in transit
  • Incident response procedures
  • Change management processes
  • Continuous monitoring of infrastructure and application security

Breach Notification

In the event of a data breach affecting your account, we will make reasonable efforts to notify you promptly, with a goal of notification within 72 hours of becoming aware of the breach. Notification will include a description of the nature of the breach, the categories and approximate number of records concerned, and the measures taken or proposed to address the breach.

Availability

We target 99.9% uptime for the Tallie platform. Scheduled maintenance windows will be communicated at least 48 hours in advance via email and in-platform notification. Unplanned outages will be communicated as soon as reasonably possible through our status page and direct notification.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TALLIE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of Delaware, and you consent to personal jurisdiction in those courts.

Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and by posting a notice within the platform at least 14 days before the changes take effect. The current Terms will always be available at tallieos.com/terms.

Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service.
